1. Company Information & Definitions

1.1 Company Identification

Claernity is a software product provided by Valuenite, a sole proprietorship registered in the Netherlands, operating under the commercial name “Valuenite IT” (hereinafter “Valuenite”). Valuenite is registered with the Dutch Chamber of Commerce (KvK) under number 95493964 and operates under VAT identification number NL005156758B65.

1.2 Definitions

1.3 Relationship to Other Documents

These Terms & Conditions apply together with the Claernity Privacy Policy. In the event of any conflict between the two regarding the processing of personal data, the Privacy Policy shall prevail.

2. Applicability

2.1 Acceptance

These Terms apply to all access to and use of Claernity. By using the Service, the User accepts these Terms.

2.2 Precedence

Any general terms or conditions of the User are expressly rejected and do not apply.

2.3 Amendment

Valuenite may amend these Terms. Where an amendment materially affects the User, notice will be given in the Service before it takes effect.

3. Nature of the Service

3.1 Description

Claernity is a set of applications for notes, calendar and task management. Each application functions independently and they are designed to be used together.

3.2 Software, Not Storage

Valuenite provides the software and the sign-in service. Valuenite does not provide storage for Content. Content is stored in the Vault chosen by the User.

3.3 Best-Effort Basis

The Service is provided on a best-effort basis, subject to available resources and standard professional skill, and without guarantee of uninterrupted availability or of any specific outcome.

4. Accounts & Eligibility

4.1 Use Without an Account

Claernity may be used without an account by keeping the Vault on the User’s own device. No registration is required for this mode of use and no feature is withheld.

4.2 Sign-In

Where the User chooses to synchronise Content with Google Drive, the User signs in with a Google account. The User is responsible for maintaining the security of that account.

4.3 Personal Use

An account is for the use of one person. Credentials may not be shared.

4.4 Age

Claernity is not directed at children under the age of 16.

5. Where Content Is Stored

5.1 Choice of Vault

The User chooses where the Vault is held. The options are the User’s own device, a folder selected by the User, or a folder created by Claernity in the User’s own Google Drive.

5.2 No Server Storage

Content is not transmitted to, processed by, or stored on servers operated by Valuenite. Requests to Google Drive are made directly from the User’s device to Google.

5.3 Consequence

Because Valuenite does not hold Content, Valuenite cannot produce, restore, recover or inspect it.

6. Ownership of Content

6.1 User Ownership

The User retains all rights in all Content. Valuenite claims no ownership of and no licence over Content.

6.2 User Responsibility

The User is responsible for the Content stored through the Service and warrants that they hold the rights necessary to store it.

6.3 Portability

Content is stored in open formats. The Service provides export of the entire Vault, of individual folders, and of individual notes, on every plan including the Free Plan, at no charge and without limitation.

7. Backups & Data Loss

7.1 User Responsibility

Because Content is held in storage controlled by the User, backing it up is the responsibility of the User.

7.2 Recommendation

Valuenite recommends exporting the Vault periodically. The Service provides this function at all times.

7.3 No Restoration

Valuenite cannot restore Content, as Valuenite does not hold a copy of it.

7.4 Deletion in the Vault

Where the Vault is held in Google Drive, deleting a file in Google Drive deletes it in Claernity. The Service maintains a trash folder within the Vault for a limited period; after that period, deletion is permanent.

8. Acceptable Use

8.2 Consequences

Valuenite may suspend or terminate access where these Terms are seriously or repeatedly breached.

9. Beta Status

9.1 Current Status

Claernity is currently made available as an open beta. The Service may contain defects, features may change or be withdrawn, and availability is not guaranteed.

9.2 User Acknowledgement

The User acknowledges the beta status of the Service and is advised to maintain exports of Content.

9.3 Beta Access

Accounts created during the beta retain access to the features stated on the Claernity website at the time of their registration.

10. Free Plan & Pro Plan

10.1 Free Plan

The Free Plan is available without charge and is not time-limited. It includes the Notes, Calendar and ToDo applications in full, unlimited notes, tasks, events, tags and attachments, and all import and export functionality.

10.2 Pro Plan

The Pro Plan unlocks the Projects application, multiple Vaults, increased limits on marks, saved views, presets and templates, write access for connected AI assistants, and a licence for commercial use.

10.3 Limits

The specific numeric limits of the Free Plan are published in the Service and may be adjusted. Any reduction of an existing limit will not apply retroactively to Content already created.

11. Purchases, Billing & Renewal

11.1 Seller

Paid plans are sold through Google Play or the Apple App Store. The relevant App Store acts as the seller and merchant of record and processes payment, taxation and invoicing under its own terms.

11.2 Payment Details

Valuenite does not receive, process or store payment details.

11.3 Renewal

Subscriptions renew automatically until cancelled. Cancellation is performed through the App Store from which the subscription was purchased.

11.4 Pricing

Prices are displayed before purchase. Valuenite may change prices for future terms. A price change never applies retroactively to a term already paid for.

12. Refunds

12.1 App Store Policy

Refunds are handled by the App Store through which the purchase was made, in accordance with its policy.

12.2 Consumer Withdrawal

Where the User is a consumer established in the European Union, statutory rights of withdrawal apply as provided by law and by the applicable App Store.

13. Third-Party Services

13.1 Dependency

The Service can connect to third-party services, including Google Drive, Google Calendar and AI providers. These are operated by third parties under their own terms and privacy policies.

13.2 No Control

Valuenite has no control over the availability, policies, pricing or decisions of such third parties.

13.3 No Liability

Valuenite shall not be liable for outages, restrictions, policy changes, account suspensions or discontinuation of features by any third-party service.

14. AI Assistants & Connected Models

14.1 Optional

Connecting an AI assistant to the Vault, and using AI features within the Service, are optional and disabled until enabled by the User.

14.2 User’s Own Account

AI functionality operates through the User’s own subscription or API key with the AI provider. Costs, terms and data handling of that provider apply to the User directly.

14.3 Scope of Access

A connected assistant can access the Vault only. It cannot access other files in the User’s Google Drive, the User’s device, or any other person’s Vault.

14.4 Control

The User may exclude individual notes or folders, review a log of assistant activity within the Service, and revoke access at any time.

14.5 No Liability for Output

Valuenite is not responsible for the content, accuracy or consequences of output generated by a third-party AI provider.

15. Availability & Support

15.1 No Uptime Guarantee

Valuenite aims to keep the Service available but does not guarantee uninterrupted access.

15.2 Offline Operation

A Vault held on the User’s device or in the User’s Google Drive remains usable offline, including where systems operated by Valuenite are unavailable.

15.3 Support

Support is provided by email at contact@valuenite.net on a best-effort basis.

16. Suspension & Termination

16.1 By the User

The User may stop using the Service and delete their account at any time from within the Service. Content remains in the User’s own storage.

16.2 By Valuenite

Valuenite may suspend or end access where these Terms are seriously or repeatedly breached, and will state the reason unless legally prevented from doing so.

16.3 Effect

Termination does not affect the User’s Content, which remains in storage controlled by the User.

17. Intellectual Property in the Service

17.1 Ownership

All intellectual property rights in the Service, including its software, design, branding and documentation, remain with Valuenite.

17.2 Licence

The User receives a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

17.3 Restrictions

The User may not copy, modify, decompile or create derivative works of the Service except to the extent permitted by mandatory law.

18. Warranties & Disclaimer of Results

18.1 As Is

The Service is provided “as is”. To the extent permitted by law, implied warranties are excluded.

18.2 No Guarantees

19. Liability Limitation

19.1 Limitation

Valuenite’s total liability is limited to the amount paid by the User for the Service in the three (3) months preceding the event giving rise to the claim.

19.2 Exclusion of Indirect Damages

19.3 Mandatory Exceptions

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be limited.

20. Force Majeure

20.1 Definition

Valuenite shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to:

21. Changes to the Service and to These Terms

21.1 Right to Modify

Valuenite reserves the right to modify the Service, its features, and the division between the Free Plan and the Pro Plan.

21.2 Notice

Where a change materially affects the User, notice will be given in the Service before it takes effect.

21.3 Continued Use

Continued use of the Service after a change takes effect constitutes acceptance of it.

22. Dispute Resolution

22.1 Complaint Submission

Any complaint must be submitted in writing to contact@valuenite.net.

22.2 Response

Valuenite will respond within 7 days of receiving the complaint.

22.3 Resolution Attempt

Both parties shall first attempt to resolve the matter amicably before commencing proceedings.

23. Governing Law & Jurisdiction

23.1 Governing Law

These Terms are governed by the law of the Netherlands.

23.2 Jurisdiction

Disputes shall be submitted to the competent court in the Netherlands, without prejudice to any right of a consumer to bring proceedings in the courts of their place of residence.

24. Consumer Rights (B2C Only)

24.1 Statutory Rights

Where the User is a consumer, all mandatory rights under Dutch and European Union consumer law continue to apply and are not limited by these Terms.

24.2 Precedence

Where any provision of these Terms conflicts with a mandatory consumer right, that right prevails.

25. Severability & Non-Waiver

25.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be replaced by a valid provision approximating its intent as closely as possible.

25.2 Non-Waiver

Failure by Valuenite to enforce any provision does not constitute a waiver of that provision or of any other.

26. Evidence & Communication

26.1 Written Form

Communication by email is considered written communication.

26.2 Records

The records of Valuenite serve as evidence of the agreement between the parties, unless the User provides evidence to the contrary.

27. Availability of These Terms

27.1 Publication

These Terms are published at claernity.com/terms and are accessible at all times.

27.2 Version

The version in force is the version published at the time of use.
